Whether buying or selling, pensions cannot be ignored. There are many examples where
insufficient attention to the pensions issues within corporate transactions has
resulted in the financial benefits of the deal being overshadowed by the impact
of the pension scheme and its liabilities.
We do, however, recognise that pensions are often one of the last things considered
in a corporate transaction and in order to add real value in this area speedy action
and appropriate, understandable, reporting is required - often at very short notice.
Therefore rather than an expensive, slow and very accurate pensions due diligence
exercise a quicker, cheaper and more approximate approach is often best initially.
In this way the potential impact of pensions on a deal can be assessed early on
and any deal restructured accordingly. We have therefore developed systems and processes
to ensure that we report meaningfully to our clients as quickly as possible.
Once an initial indication of the financial impact of the pension scheme has been
reviewed we believe that there is a need for more indepth due diligence to ensure
that there are no hidden risks. There is also a need to get an actuary involved
